EFFECTIVE DATE: OCTOBER 01, 2026 | VERSION 2.0
Welcome to Ferrando Global Solutions ("FGS", "we", "us", or "our"). These Terms & Conditions govern your access to our website, communication channels, and all commercial engagements for bespoke software engineering, technical consultancy, cloud architectures, Microsoft Dynamics 365, and digital product delivery. By visiting our site or commissioning services, you agree to comply with and be bound by these terms.
1. Service Offerings & Statements of Work
FGS provides professional B2B technology services, including full-stack web and mobile application engineering, enterprise software consultation, Microsoft Dynamics 365 implementation, API development, cloud deployment, and digital experience design.
All commercial projects are executed pursuant to written proposals, Statements of Work (SOW), or Master Services Agreements (MSA). Each SOW defines project milestones, specifications, deliverable criteria, delivery schedules, and applicable commercial fees. In the event of a conflict between these general Terms and an executed SOW, the specific terms of the SOW shall govern.
2. Commercial Fees, Invoicing & Transaction Rules
Commercial engagements are billed based on agreed project milestones, fixed fees, or agreed time-and-materials retainers:
- Milestone Invoicing: Invoices are issued upon the formal commencement or successful completion of agreed project phases as outlined in the SOW.
- Payment Terms: Unless otherwise specified in writing, invoices are payable within 15 calendar days from the date of issuance via verified corporate bank wire, electronic fund transfer (NEFT/RTGS/SWIFT), or approved corporate merchant channels.
- Taxes & Statutory Levies: All quoted rates are exclusive of applicable Goods and Services Tax (GST), value-added taxes, or cross-border withholding levies, which shall be charged as required by governing tax regulations.
- Late Payments: Accounts past due may be subject to late interest of 1.5% per month (or the maximum permitted by law), and FGS reserves the right to pause active development sprints until overdue amounts are settled.
3. Client Obligations & Approvals
Successful engineering delivery requires active collaboration. The Client agrees to:
- Designate an authorized project representative with authority to approve milestones and scope adjustments.
- Provide necessary technical documentation, third-party API credentials, assets, and feedback in a timely manner.
- Review milestone deliverables within the agreed inspection period (standard: 7 business days) and provide formal acceptance or written defect reports.
- Ensure that all text, graphics, trademarks, and data provided to FGS are owned by the client or properly licensed.
4. Intellectual Property Rights & Ownership
Custom Work Product: Upon receipt of full and final payment for the designated milestone or project, all proprietary source code, application architectures, and custom visual assets created exclusively for the Client transfer to the Client.
FGS Pre-Existing Materials: FGS retains all rights to its pre-existing foundational code, reusable developer utilities, modular libraries, and proprietary deployment pipelines. To the extent embedded within deliverables, FGS grants the Client a perpetual, royalty-free, worldwide, non-exclusive license to use such components in connection with the deliverable.
5. Confidentiality & Non-Disclosure
Both parties agree to treat all non-public technical specifications, source code, business strategies, pricing structures, and customer data disclosed during the engagement as strictly confidential. Confidential information shall not be disclosed to any third party without prior written consent, except to employees, contractors, and legal advisors bound by equivalent confidentiality obligations.
6. Warranties & 30-Day Defect Remedy Period
FGS warrants that all services will be executed in a professional, workmanlike manner consistent with recognized industry standards.
Unless otherwise stated in the SOW, FGS provides a 30-calendar-day warranty period following final production deployment, during which FGS will remediate any verifiable defects or bugs where the deliverable fails to conform to agreed technical specifications, at no additional charge. This warranty does not cover modifications made by third parties, external API disruptions, or hosting environment failures outside FGS control.
7. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Ferrando Global Solutions, its directors, or its affiliates be liable for any indirect, incidental, punitive, special, or consequential damages, including loss of profits, data corruption, or business interruption.
FGS's aggregate cumulative liability arising out of or related to any engagement shall strictly not exceed the total fees actually received by FGS under the specific Statement of Work giving rise to the claim during the six (6) months preceding the incident.
8. Governing Law & Dispute Resolution
These Terms and all client engagements shall be governed by and construed in accordance with the laws of India. Any legal dispute, controversy, or claim arising under or relating to these terms shall be subject to the exclusive jurisdiction of the competent courts located in Chennai, Tamil Nadu, India, following a mandatory 30-day good-faith negotiation period between designated executive representatives.
